By accessing or using Fairwai's services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Fairwai SAS ("Fairwai," "we," "us," or "our").
2. Description of Service
Fairwai provides an AI-powered meeting assistant that: • Records and transcribes meetings (with your explicit consent) • Generates summaries, tasks, and insights from conversations • Integrates with communication platforms (Zoom, Teams, Google Meet, etc.) • Offers search and organization features for meeting data The Service is provided on a subscription basis with different pricing tiers.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must: • Provide accurate and complete registration information • Be at least 16 years old • Have the authority to enter into these Terms • Maintain one account per user (no account sharing)
3.2 Account Security
You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized access • Using strong passwords and enabling two-factor authentication when available
4. Acceptable Use Policy
You agree NOT to: • Violate any applicable laws or regulations • Infringe on intellectual property rights of others • Upload malicious code, viruses, or harmful content • Attempt to gain unauthorized access to our systems • Use the Service to harass, abuse, or harm others • Record meetings without proper consent from participants • Share recordings without authorization from participants • Use the Service for illegal surveillance or espionage • Reverse engineer, decompile, or disassemble the Service • Resell or redistribute the Service without permission • Use automated tools to access the Service without authorization Violation of this policy may result in immediate account termination.
5. Recording Consent and Legal Compliance
You are solely responsible for: • Obtaining proper consent before recording any meeting • Complying with local, national, and international recording laws • Informing all participants that recording is in progress • Ensuring your use complies with GDPR, CCPA, and other privacy regulations Fairwai provides tools to facilitate consent (e.g., recording notifications), but you bear full legal responsibility for compliance.
6. Intellectual Property Rights
6.1 Your Content
You retain ownership of all content you upload or create using the Service. By using the Service, you grant Fairwai a limited, non-exclusive, royalty-free license to: • Process, store, and transmit your content to provide the Service • Generate transcriptions, summaries, and insights • Improve the Service (using aggregated, anonymized data only) You can revoke this license by deleting your content or closing your account.
6.2 Fairwai's Intellectual Property
All rights, title, and interest in the Service, including: • Software, algorithms, and AI models • User interface, design, and branding • Documentation and materials remain the exclusive property of Fairwai. You receive a limited, non-transferable license to use the Service during your subscription.
7. Subscription and Payment
7.1 Subscription Plans
• Subscriptions are billed monthly or annually based on your selection • Prices are displayed on our Pricing page and may change with notice • You can upgrade, downgrade, or cancel at any time • Refunds are provided according to our Refund Policy (see Section 7.3)
7.2 Automatic Renewal
Subscriptions automatically renew unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on each renewal date.
7.3 Refund Policy
• New users: 14-day money-back guarantee • Cancellations: No refunds for partial billing periods • Downgrades: Effective at the next billing cycle • Disputes: Contact support@fairw.ai within 30 days
7.4 Free Trials
We may offer free trials at our discretion. If you do not cancel before the trial ends, you will be charged for the subscription.
8. Service Availability and Support
• We strive for 99.9% uptime but do not guarantee uninterrupted service • Scheduled maintenance will be announced in advance when possible • We provide support via email and in-app chat • Response times vary by subscription tier (Premium users receive priority support) • We are not liable for third-party service disruptions (e.g., Zoom outages)
9. Data Privacy and Security
Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your data. Key points: • We do not sell your personal information • Your meeting content is not used to train public AI models • Data is encrypted in transit and at rest • You can export or delete your data at any time
10. Termination
10.1 By You
You may cancel your subscription at any time through your account settings. Access continues until the end of your billing period.
10.2 By Us
We may suspend or terminate your account if you: • Violate these Terms • Engage in fraudulent or illegal activity • Abuse the Service or harm other users • Fail to pay subscription fees We will provide notice when possible, but we reserve the right to terminate immediately for serious violations.
10.3 Effect of Termination
Upon termination: • Your access to the Service will be revoked • Your data will be retained for 30 days, then permanently deleted • You can export your data before deletion • You remain responsible for any outstanding fees
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. • We do not guarantee the accuracy of AI-generated transcriptions or summaries • You are responsible for verifying important information • We are not liable for decisions made based on AI outputs • Our total liability is limited to the amount you paid in the last 12 months • We are not liable for indirect, incidental, or consequential damages Some jurisdictions do not allow liability limitations, so these may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Fairwai, its officers, directors, and employees from any claims, damages, or expenses arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights (including recording without consent) • Your content or conduct
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by: • Posting the updated Terms on our website • Sending an email notification • Displaying an in-app notice Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree with the changes, you must stop using the Service and cancel your subscription.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of France. Any disputes will be resolved through: 1. Good-faith negotiations 2. Mediation (if negotiations fail) 3. Arbitration or French courts (as a last resort) You agree to resolve disputes individually, not as part of a class action.
15. Miscellaneous
• Entire Agreement: These Terms constitute the entire agreement between you and Fairwai • Severability: If any provision is found invalid, the rest remains in effect • No Waiver: Our failure to enforce a right does not waive that right • Assignment: You may not transfer your account; we may assign our rights • Force Majeure: We are not liable for delays due to circumstances beyond our control
